Terms of Service
The rules of the road for using Alchemist. Plain English where we can, lawyer-speak only where we have to.
01Who we are
These terms are between you ("the Client", "you") and Alchemist Ltd, a company registered in England and Wales (company number: [INSERT COMPANY NUMBER]), registered office: [INSERT REGISTERED ADDRESS], Leeds, United Kingdom.
By signing up for any Alchemist service, you agree to these terms. If you don't agree, please don't sign up.
02What we provide
Alchemist provides modular digital services for UK small businesses. You can subscribe to one or more modules, including:
- Site & Presence (website build, hosting, maintenance)
- SEO (search engine optimisation)
- Paid Ads (Google, Meta, LinkedIn ad management)
- Social Media (content production and posting)
- AI Automation (chatbots, voice agents, workflows)
- Local Visibility (Google Business Profile, reviews, citations)
The specific deliverables, scope, and KPIs for your chosen modules are described in the pricing page and your onboarding agreement. Where there's a conflict between marketing copy and your signed onboarding agreement, the onboarding agreement wins.
03Your account
To use Alchemist services, you must:
- Be a registered UK business or sole trader, or an authorised representative thereof
- Provide accurate, current information at sign-up
- Keep your account credentials secure — you're responsible for activity under your account
- Notify us immediately if you suspect unauthorised access
We may refuse service to anyone for any lawful reason, including (but not limited to) businesses we believe pose a risk to our reputation, our team's wellbeing, or other clients.
04Fees and payment
Subscription fees
Each module has a flat monthly fee published on our pricing page. Fees are charged in advance on a monthly cycle, on the same calendar day each month, via the payment method you provide (Stripe-processed). Fees are exclusive of VAT, which is added where applicable.
Setup fees
Some modules carry a one-off setup fee, charged on activation. Setup fees are waived when you bundle three or more modules at sign-up. Setup fees are non-refundable once setup work has begun, except as described under "Setup money-back" below.
Setup money-back
For Site & Presence setup specifically, if you cancel within 30 days of your setup invoice and we have not yet delivered your live website, we will refund the setup fee in full. After that, setup fees are non-refundable.
Ad spend (Paid Ads module only)
Where you have a Paid Ads subscription, the ad spend itself is paid by you directly to the relevant ad platform (Google, Meta, etc.). We do not handle your ad budget. Our flat monthly fee covers management of those campaigns and is separate from ad spend.
Late payment
If a payment fails, we will retry up to 3 times over 7 days. If still unpaid after that, we may suspend services until paid (see "Suspension" below). Persistent non-payment after 30 days is grounds for termination.
05Term and cancellation
Single modules
Single-module subscriptions are rolling monthly with 30 days notice. You can cancel any time from your customer portal. Cancellation takes effect at the end of the current billing cycle.
Bundled plans (2 or more modules)
Bundled plans have a 6-month minimum term from activation, because we invest substantial setup work upfront. After the 6-month minimum, bundled plans become rolling monthly with 30 days notice.
Early termination of a bundled plan within the 6-month minimum requires payment of the remaining months in the term, or 50% of the remaining months if termination is for our material breach.
How to cancel
The fastest way to cancel is via your customer portal. You can also email us at [email protected] with "Cancel" in the subject line. Either is fine — we never make you ring up.
06Intellectual property
Subject to all fees being paid:
- Your content (logos, brand assets, written content you provide) remains yours.
- Work product we create specifically for you (website code, ad creative, social posts, SEO content, automation workflows) becomes yours upon full payment of related invoices.
- Our tools, methods, internal templates, and proprietary processes remain ours.
- You grant us a non-exclusive licence to use your brand assets only as needed to perform the services.
You may use our work product for any lawful business purpose. If you cancel, you retain everything we built for you — domain, hosting credentials, ad accounts, GBP ownership, files. No hostage tricks.
07Your data
We handle your data in accordance with our Privacy Policy and applicable UK GDPR and Data Protection Act 2018 requirements. In short:
- We collect only what we need to deliver the service.
- We don't sell your data, ever.
- You can request a copy, correction, or deletion of your personal data at any time.
- We use trusted processors (Stripe, SureCart, FluentCRM, etc.) — listed in the Privacy Policy.
08Liability
We provide the services with reasonable skill and care. We cannot guarantee specific business outcomes (e.g., a particular number of leads, ranking position, or revenue increase) because too many factors are outside our control.
To the maximum extent permitted by law, our total liability to you in any 12-month period is limited to the fees you paid us in the preceding 12 months for the module that gave rise to the claim. We are not liable for indirect, consequential, or punitive losses, including loss of profit, business interruption, or reputational damage.
Nothing in these terms limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability which cannot lawfully be limited.
09Suspension
We may suspend services without prior notice if:
- Your payment is overdue by more than 7 days
- You materially breach these terms
- We reasonably believe your account is being used for illegal activity, fraud, harassment, or to harm others
- We are required to do so by law or regulatory order
Suspended services can be reinstated once the underlying issue is resolved.
10Changes to these terms
We may update these terms from time to time. If we make material changes (anything affecting your rights, fees, or cancellation), we'll email you at least 30 days before they take effect. Minor clarifications (typos, restructuring, non-substantive edits) may be made without notice.
Continued use of the service after the effective date constitutes acceptance. If you don't agree to the changes, cancel before the effective date.
11Governing law
These terms are governed by the laws of England and Wales. Any dispute that can't be resolved by good-faith discussion will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you're outside the UK and use our services, you accept that English law applies to our relationship.
